A Seychelles Limited Partnership (“LP”) is a useful Tax Planning vehicle because it can receive income from sources outside of Seychelles which it can then distribute to non-Seychelles residents without having to pay tax in Seychelles. LPs are commonly used for international joint venture activities mainly due to the ability of the structure to shield one partner from any form of liability as regards the venture.The law provides for the participation of both “General” Partners & “Limited” Partners. In the event that there are insufficient LP assets to satisfy a particular debt it is the General Partner only who shall be made liable. The Limited Partners cannot as a rule be made liable for a Limited Partnership’s debts.
