A simple commandite company is established by two categories of partners: Silent partners, who have no involvement in the management of the company and have limited liability to the extent of their investment (limited partners). Managing partners, who are jointly liable to the extent of their entire personal wealth for the company’s debts and obligations (unlimited partners) . There must also be a minimum of two managers or directors who must be of Bahraini nationality. The company’s authorized signatories must also be of Bahraini nationality. Foreign nationals can invest a maximum of 49% of the capital of the company as sleeping partners only. The unlimited partner must be Bahraini with a minimum share of 51% in the capital of the company. The sleeping partner or non-managing partner does not have to be named or identified in the company’s public records. Consequently, the sleeping partner’s name must not appear in the company name, as this would void their limited partnership status.
